1. Agreement to Terms

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Doorstoep (Pty) Ltd ("Company", "we", "us", or "our"), concerning your access to and use of the Stoep grocery list mobile application (the "App") and related services (collectively, the "Services").

By accessing the Services, you confirm you have read, understood, and agreed to be bound by these terms.If you do not agree, you are expressly prohibited from using the Services and must discontinue use immediately. Minors under 18 must have direct parental or guardian supervision and permission to use the Services.

2. Description of Services

Stoep is a mobile application designed to help users create, manage, and share grocery and shopping lists. The information and features provided via the Services are not intended for distribution or use in any jurisdiction where it would violate local laws or regulations, or subject us to registration requirements. The Services are not tailored to comply with industry-specific regulations (such as HIPAA, FISMA, or GLBA); if your activities are subject to such laws, you may not use the Services.

3. User Registration and Accounts

You may be required to register an account to access certain features of the grocery list App. You agree to provide true, accurate, current, and complete registration info and keep your password confidential. You are responsible for all activity on your account. We reserve the right to reclaim or change any username you select if we deem it inappropriate or objectionable. Failure to maintain accurate information may result in account suspension or termination.

4. Purchases, Payment, and Refund Policy

We accept designated forms of payment for premium features, subscriptions, or in-app upgrades. You agree to provide current, accurate account and billing information. You authorize us to charge your chosen payment provider for all purchases at the prices then in effect. We reserve the right to correct pricing errors, change pricing at any time, or refuse/limit any order at our sole discretion.

Refund Policy: We offer a 30-day money-back guarantee. If you are unsatisfied with your premium purchase or subscription, you may request a full refund within thirty (30) days of the original transaction date. Approved refunds will be issued directly to your original payment method.

5. Intellectual Property Rights

Our Property: We own or license all intellectual property rights in the Services, including the App's source code, databases, software, text, user interface designs (the "Content"), and trademarks or logos (the "Marks"). We grant you a limited, revocable, non-exclusive, non-transferable license to access the Services for your personal, non-commercial, or internal business use. No part of the Services may be exploited for commercial purposes without our express prior written permission.

Your Submissions & Grocery Content: By sending us feedback or feature suggestions ("Submissions"), you assign all intellectual property rights in them to us. For content you input, post, or share within the App—such as custom items, recipes, comments, or shared list descriptions ("Contributions")—you grant us an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use, host, reproduce, modify, and distribute such content to facilitate the functionality of the App. You retain full ownership of your grocery lists and Contributions and remain solely responsible for ensuring they do not violate third-party rights or applicable laws.

6. Prohibited Activities

You may only use the App for its intended grocery organization and sharing purposes. Prohibited activities include, but are not limited to:

• Systematically scraping or harvesting product data, item descriptions, or pricing information to compile competitive databases or directories.
• Tricking, defrauding, or misleading us or other users to obtain sensitive account information.
• Circumventing or tampering with security features or software of the App.
• Using scripts, bots, spiders, or automated tools to access or mine data from the system.
• Uploading or transmitting viruses, Trojan horses, spam, or malicious code.
• Harassing, abusing, threatening, or defaming other users or our employees.
• Reverse engineering, decompiling, or disassembling any of the App's underlying software.
• Using the list sharing features to distribute unauthorized commercial advertising, promotional materials, or spam.

7. Guidelines for Reviews

When leaving app reviews or ratings, you must have firsthand experience with the App, avoid offensive, discriminatory, or illegal language, and ensure you are not affiliated with a competitor. We reserve the right to accept, reject, or remove reviews at our sole discretion without notice.

8. Privacy and Data Security

Your use of the Services is subject to our Privacy Policy. By using the App, you agree to the processing and security practices of your list data and user profile outlined therein. We reserve the right to manage, monitor, or remove content that violates these terms or threatens system security.

9. Term and Termination

These Legal Terms remain in full force while you use the App. We reserve the right, without notice or liability, to deny access, terminate accounts, or delete your saved grocery data for any reason, including breach of any representations, warranties, or covenants contained in these terms.

10. Modifications, Interruptions, and Availability

We reserve the right to change, modify, or remove features of the App at any time or for any reason at our sole discretion without notice. We cannot guarantee the Services will be available at all times. We may experience hardware, software, or maintenance issues resulting in interruptions, delays, or errors, and we assume no liability for any loss or inconvenience caused by your inability to access your lists during downtime.

11. Disclaimers and Limitation of Liability

The Services are provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

In no event will Doorstoep (Pty) Ltd, its directors, or employees be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profit, lost data, or list disruption—arising from your use of the Services, even if advised of the possibility of such damages.

12. Indemnification

You agree to defend, indemnify, and hold us harmless (including our subsidiaries, officers, and employees) from and against any claims, liabilities, damages, losses, or demands arising out of your Contributions, your use of the App, your breach of these Legal Terms, or your violation of any third-party rights.

13. Governing Law and Disputes

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of Eswatini(formerly known as Swaziland), without regard to conflict of law principles. Any legal action or dispute arising under these terms shall be brought exclusively in that jurisdiction.

14. Miscellaneous

These Legal Terms and any operating rules posted by us constitute the entire agreement between you and us regarding the App. Our failure to exercise or enforce any right or provision shall not operate as a waiver. If any provision is found to be unlawful or unenforceable, that provision is severable and does not affect the validity of the remaining terms. You agree that these terms will not be construed against us by virtue of having drafted them.
